General Sales
All orders for products and services on the Brymilluk.com website are accepted by Brymill Cryogenic Systems (UK) Ltd and subject to these terms and conditions of sale. No other terms will apply to the supply of products and services by Brymill Cryogenic Systems (UK) Ltd unless agreed in writing by Brymill Cryogenic Systems (UK) Ltd.

Descriptions of products and services contained on the Brymilluk.com website or otherwise communicated to the Customer are approximate only and shall not form any part of the contract between Brymill Cryogenic Systems (UK) Ltd and the Customer. Brymill Cryogenic Systems (UK) Ltd may correct any errors in its website without liability to the Customer. The advertising of products and services on the Brymilluk.com website merely constitutes an invitation by Brymill Cryogenic Systems (UK) Ltd for the Customer to make an offer to purchase products and/or services.

Product Specification
Whilst every effort has been made to ensure the details and specifications provided by the Brymilluk.com website are correct, they may be altered without prior notice, dependant upon manufacturers amendments.

Ordering
The Brymilluk.com website is intended for use by business customers only and not for consumers or private individuals. Federal laws exist that restrict the sale of certain products to licensed medical practitioners or veterinarians therefore sales to members of the general public. Notwithstanding the foregoing, nothing in these terms and conditions of sale shall affect the statutory rights of a Customer who deals as a consumer.

Brymill Cryogenic Systems (UK) Ltd reserves the right to decline to trade with any company or practitioner. In addition, Brymill Cryogenic Systems (UK) Ltd may decline to accept any order, whether or not payment has been received, by giving notice of non-acceptance to the Customer by email or facsimile within a reasonable period of receipt by Brymill Cryogenic Systems (UK) Ltd of the order.

Prices
All prices detailed on the Brymilluk.com website are in GBP (Stirling) and are subject to Postage & Packing and VAT (where appropriate) at the current UK rate.
Prices are considered correct at the time of ordering but are subject to change without notice if the market demands such a change.
Any quotations given either verbal or written are valid for 30 days only.

Delivery
Delivery times may vary depending on availability of items. If a part order situation arises we will contact the buyer to discuss part delivery options.

To cover for adequate insurance in the event of loss or damage all items are despatched using a courier service.

Overseas Delivery
Overseas Shipping charges are calculated and priced on Volumetric Weight. To cover for adequate insurance in the event of loss or damage all items are despatched using an International Shipping Agent.

Customs
If your delivery address is outside the UK, the addressee will be the importer of record and must comply with all laws and regulations of the country into which the products are delivered. The product may be subject to import duties and taxes, which are levied once the package reaches the country of delivery. Any such additional charges levied for customs clearance must be borne by the customer. Please note that Brymill Cryogenic Systems (UK) Ltd has no control over these charges and cannot predict what they may be at any time in the future.
Customs policies vary widely from country to country; please contact your local customs office for further information. Please note that packages that are being shipped internationally are subject to opening and inspection by customs authorities.

Delivery Claims, Damage, or Lost in Transit
Claims for Damaged and missing items must be reported within 3 days of delivery, in writing, or we shall not be liable.
Claims for short or non-delivery must be made in writing within 7 days of the invoice date, or we accept no responsibility for loss of delivery.

Insurance, Risk and Ownership
Upon delivery of the goods, the risk inherent in the goods shall pass to the customer. Brymill Cryogenic Systems (UK) Ltd accepts no responsibility for misuse or incorrect use of the goods.

Risk of loss of or damage to the products shall pass to the Customer on delivery. Ownership of the products shall not pass to the Customer until all sums due to Brymill Cryogenic Systems (UK) Ltd from the Customer for all products ordered from Brymill Cryogenic Systems (UK) Ltd have been received by Brymill Cryogenic Systems (UK) Ltd (in cash or cleared funds). If the Customer is late in paying any sum to Brymill Cryogenic Systems (UK) Ltd, then Brymill Cryogenic Systems (UK) Ltd shall be entitled to the immediate return of all products where the ownership has not passed to the Customer.

The Customer authorises Brymill Cryogenic Systems (UK) Ltd or its agents to recover the products, and to enter any premises of the Customer for that purpose. Demand for or recovery of the products by Brymill Cryogenic Systems (UK) Ltd shall not of itself discharge either the Customer's liability to pay the whole of the price and take delivery of the products or Brymill Cryogenic Systems (UK) Ltd’s right to sue for the whole of the price.

Terms of Payment
Payment for goods purchased with credit card or debit card will be taken at the time of ordering via a secure on-line credit card processing company. If a Credit card or debit card transactions is declined payment may be made by BACS or Wire Transfer. To arrange this customers shall be required to contact us to arrange payment by this method. Goods paid by BACS or Wire Transfer are not released from our warehouse until payment has been received.

Returned Goods, 30-day money back guarantee
No goods will be accepted for credit unless prior arrangement has been agreed with us.

A customer who is not satisfied with the purchase made may return an item, at their cost, providing contact and arrangements have been made with our sales office to obtain prior agreement for the return of any item.

Contact with our sales office must be made within 30 days of the Invoice date.

Providing there is no damage to the item and it is returned in its original packaging the customer will receive a full refund for the original order value of the goods. The original delivery charge is not refundable. If there is any damage to the item then the refund will not be honoured. In the event that the goods have to be repackaged then a 20% restocking charge will be deducted from the refund.

Guarantee & Limited Liability
Unless otherwise specified in the product specification all products are covered by a 12-month guarantee against manufacturing defects arising from faulty workmanship or defective materials. Accidental damage, misuse or wear & tear are not included.

When returning an item under guarantee, please return the item to Brymill Cryogenic Systems (UK) Ltd with a written explanation of the nature of the fault or problem. Also ensure that a contact name and phone number is provided.

Electronic communications
When a customer enters into a transaction on or via the Brymilluk.com website or send e-mails to us, they are communicating with Brymill Cryogenic Systems (UK) Ltd electronically. Brymill Cryogenic Systems (UK) Ltd communicates with you by e-mail or by posting notices on the Brymilluk.com website. For contractual purposes, a customer consents to receive communications from Brymill Cryogenic Systems (UK) Ltd electronically and agrees that all agreements, notices, disclosures and other communications that are provide to a customer electronically satisfy any legal requirement that such communications be in writing. This condition does not affect a customer of their statutory rights.

Alteration of service or amendments to the conditions
Brymill Cryogenic Systems (UK) Ltd reserves the right to make changes to these terms and conditions at any time. A customer will be subject to the terms and conditions in force at the time that they order goods from Brymill Cryogenic Systems (UK) Ltd, unless any change to those policies or these conditions is required to be made by law or government authority (in which case it will apply to orders previously placed by a customer). If any of these conditions is deemed invalid, void, or for any reason unenforceable, that condition will be deemed severable and will not affect the validity and enforceability of any remaining condition

Product and Availability Information
Brymill Cryogenic Systems (UK) Ltd reserves the right, without prior notice, to discontinue any product or to make design changes as part of its continuous programme of product improvement, or to assist product availability, and such changes may take place during the life of the Brymilluk.com website.
Unless otherwise confirmed, nothing on the Brymilluk.com website is to be taken as a representation of the source of origin, manufacture, or production of the products or any part of them.

Force Majeure
A force majeure event is any event beyond the reasonable control of Brymill Cryogenic Systems (UK) Ltd (including strikes, traffic congestion, the downtime of any external line, or Brymill Cryogenic Systems (UK) Ltd’s inability to procure services, materials or articles required for the performance of the contract except at enhanced prices). If Brymill Cryogenic Systems (UK) Ltd is prevented or restricted from carrying out all or any of its obligations under these terms and conditions of sale by reason of any force majeure event, then Brymill Cryogenic Systems (UK) Ltd shall be relieved of its obligations during the period that such event continues, and shall not be liable for any delay and/or failure in the performance of its obligations during such period. If the force majeure event continues for a period longer than fourteen days, Brymill Cryogenic Systems (UK) Ltd may cancel the affected order or cancel the whole or any part of these terms and conditions of sale, without any liability to the Customer.

Law and Jurisdiction
The contract between Brymill Cryogenic Systems (UK) Ltd and the Customer shall be governed by and interpreted in accordance with English Law and the Customer submits to the jurisdiction of the High Court of Justice in England.
